End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("Client," "you," or "your") and SNSYS ("we," "us," or "our") governing your use of the SNSYS platform and services, including but not limited to Revenue Recovery, AI Receptionist, Business Website, and all related tools and integrations. By activating any SNSYS service, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.
1. Definitions
- "Services" means the SNSYS platform, including Revenue Recovery, AI Receptionist, Business Website, Growth Engine, and any other modules or features made available to you.
- "Revenue Recovery" means the AI-powered collections service that contacts your customers via phone and SMS to recover overdue invoices on your behalf.
- "QuickBooks Integration" means the connection between your QuickBooks Online account and SNSYS for the purpose of importing invoice and customer data.
- "Collection Fee" means the percentage-based fee charged by SNSYS on successfully recovered amounts, as specified at the time of activation.
- "Platform Data" means all data processed through the SNSYS platform, including customer records, invoice data, call recordings, communication logs, and analytics.
2. License Grant
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations. This license does not include the right to:
- Sublicense, resell, or redistribute the Services to third parties.
- Modify, adapt, translate, or create derivative works based on the Services.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
- Remove, alter, or obscure any proprietary notices or labels on the Services.
- Use the Services to build a competing product or service.
3. Revenue Recovery Service Terms
By activating Revenue Recovery, you agree to the following additional terms:
- Authorization to Act: You authorize SNSYS to contact your customers on your behalf via AI-powered phone calls and SMS messages for the purpose of collecting overdue invoices. Communications will identify your business by name.
- Collection Fee: SNSYS charges a collection fee of 10% on all amounts successfully recovered through the service. This fee is calculated on the amount actually collected, not the original invoice balance. Fees are invoiced monthly in arrears.
- No Upfront Cost: Revenue Recovery operates on a performance basis. You pay nothing unless money is recovered.
- Compliance: All collection communications are conducted in compliance with the Fair Debt Collection Practices Act (FDCPA), the Telephone Consumer Protection Act (TCPA), and applicable state regulations. SNSYS is not a debt collection agency and operates as a technology service acting under your authorization.
- Data Accuracy: You are responsible for ensuring that the invoice and customer data provided to SNSYS (whether through QuickBooks integration or manual entry) is accurate and up to date. SNSYS is not liable for communications sent based on inaccurate data you provide.
- Customer Disputes: If a customer disputes an invoice, SNSYS will escalate the dispute to you for resolution. SNSYS does not adjudicate disputes between you and your customers.
4. QuickBooks Integration
If you connect your QuickBooks Online account to SNSYS:
- Data Access: You authorize SNSYS to access your QuickBooks data, including invoices, customer contact information, payment history, and company details, solely for the purpose of providing the Services.
- Read-Only Access: SNSYS accesses your QuickBooks data in read-only mode for invoice synchronization. We do not modify, create, or delete records in your QuickBooks account.
- Token Security: OAuth credentials are encrypted at rest and transmitted only over TLS-secured connections. You may revoke access at any time through your QuickBooks account settings or by contacting us.
- Sync Frequency: Invoice data is synchronized periodically to detect newly past-due invoices and updated payment statuses. You may also trigger a manual sync at any time.
5. AI Communications
SNSYS uses artificial intelligence to conduct communications on your behalf. You acknowledge and agree that:
- AI-generated phone calls and messages are made under your business identity and authorization.
- Call recordings and transcripts are retained for quality assurance, compliance, and dispute resolution purposes.
- AI communications follow configurable escalation tiers (friendly, firm, urgent) based on invoice aging.
- You may pause, adjust, or stop collection activity on any individual invoice or customer at any time through the SNSYS dashboard.
- SNSYS does not guarantee any specific recovery rate or outcome. Projected recovery estimates provided during onboarding are based on industry averages and are not guarantees.
6. Data Ownership and Privacy
- Your Data: You retain full ownership of all data you provide to SNSYS, including customer records, invoice data, and business information. We do not sell, share, or use your data for any purpose other than providing the Services.
- Platform Data: SNSYS retains the right to use anonymized, aggregated data derived from the Services for the purpose of improving the platform, generating benchmarks, and conducting research. No individually identifiable information is included in aggregated data.
- Data Processing: We process personal data in accordance with our Privacy Policy and applicable data protection laws.
- Data Retention: Upon termination of your account, we will retain your data for up to 90 days to facilitate reactivation. After 90 days, data will be permanently deleted unless retention is required by law.
7. Payment Terms
- Subscription Services: Services with monthly fees (AI Receptionist, Business Website, Guest WiFi, etc.) are billed monthly in advance. Fees are non-refundable except as required by law.
- Performance-Based Services: Revenue Recovery fees are billed monthly in arrears based on amounts successfully collected during the billing period.
- Payment Method: You agree to provide a valid payment method and authorize SNSYS to charge applicable fees. If payment fails, we may suspend your access to the Services after providing reasonable notice.
- Price Changes: We may adjust pricing with at least 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
8. Service Availability and Support
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when possible. 9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNSYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
SNSYS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SNSYS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
YOU ACKNOWLEDGE THAT RECOVERY ESTIMATES ARE PROJECTIONS BASED ON INDUSTRY DATA AND ARE NOT GUARANTEED OUTCOMES. ACTUAL RECOVERY AMOUNTS MAY BE HIGHER OR LOWER THAN ESTIMATES PROVIDED.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SNSYS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
11. Indemnification
You agree to indemnify, defend, and hold harmless SNSYS and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services.
- Your breach of this Agreement.
- Inaccurate data you provide to the platform.
- Disputes between you and your customers regarding invoices or amounts owed.
- Your violation of any applicable law or regulation.
12. Termination
Either party may terminate this Agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately if you breach this Agreement or engage in conduct that we reasonably believe is harmful to SNSYS, other users, or third parties.
Upon termination:
- All active collection campaigns will be paused and no further communications will be sent on your behalf.
- Any outstanding collection fees for amounts already recovered remain due and payable.
- Your data will be retained for 90 days before permanent deletion.
- QuickBooks and other third-party integrations will be disconnected.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles. Any disputes arising under this Agreement shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Connecticut.
You agree to resolve disputes on an individual basis and waive any right to participate in class action proceedings against SNSYS.
14. Modifications to this Agreement
We may update this Agreement from time to time. Material changes will be communicated at least 30 days in advance via email or through the platform. The version number and effective date at the top of this page indicate the current version. Continued use of the Services after changes take effect constitutes acceptance of the updated Agreement.
15. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and SNSYS regarding the Services and supersedes all prior agreements and understandings.
